THE UNTZ FESTIVAL

TICKET PURCHASE AGREEMENT, EVENT GUIDELINES, ASSUMPTION OF RISK, RELEASE OF LIABILITY, AND MEDIA CONSENT

18+ EVENT — VALID PHOTO ID REQUIRED AT ENTRY

A legally binding agreement between the purchaser/attendee ("Participant") and 24 Music LLC, dba The Untz ("Company," "we," "us")

BY CHECKING THE ACCEPTANCE BOX AT CHECKOUT, PURCHASING A TICKET, REGISTERING, RECEIVING A WRISTBAND, OR ENTERING THE EVENT PREMISES, PARTICIPANT AGREES TO ALL TERMS BELOW. THIS DOCUMENT AFFECTS PARTICIPANT'S LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE AND THE RIGHT TO A JURY TRIAL. READ IT CAREFULLY BEFORE PROCEEDING.

1. Eligibility, Age Verification, and Gate Entry

This is an 18-and-over event. No person under the age of 18 will be admitted for any reason, regardless of parental or guardian accompaniment or consent.

Purchaser Representation: By completing a ticket order, the individual making the purchase (“Purchaser”) represents and warrants that they are at least eighteen (18) years of age and possess the legal authority to enter into this Agreement, and that every individual included in or attending under that order is also at least eighteen (18) years of age.

Attendee Certification: By checking the box labeled “I have Read and Agree to the Event's Guidelines” at checkout, Participant additionally certifies and represents that they are personally at least eighteen (18) years of age.

Gate Age Verification: Company will require valid, government-issued photo identification at Event entry gates to verify that each attendee is at least 18 years of age. Any individual who cannot present valid identification demonstrating they are at least 18 will be denied entry without a refund. Presenting fraudulent or altered identification, or another person's identification, to gain entry is strictly prohibited and may result in immediate ejection, confiscation of the identification, and referral to law enforcement.

2. Assumption of Risk

Participant understands that attendance at an outdoor, multi-day camping music festival involves inherent and significant risks, including but not limited to:

  • Travel to and from a remote, rural venue with limited cellular service and delayed access to emergency care;

  • Exposure to heat, cold, sun, dust, smoke, insects, wildlife, uneven and unlit terrain, and variable or severe weather;

  • Large crowds, loud amplified sound, strobe and flashing lighting effects, and pyrotechnics or special effects;

  • Movement of golf carts, ATVs, forklifts, skid steers, tractors, and other production or heavy equipment and vehicles throughout the venue at all hours;

  • The Yuba River, which runs through or borders the venue property, including its currents, depth changes, submerged rocks and debris, cold water temperature, and other natural hazards; swimming, wading, and entering the river in any manner is strictly prohibited, but Participant acknowledges the river remains present and accessible on the property regardless of that prohibition;

  • Camping-related hazards, including propane, grills, generators, carbon monoxide, tent collapse, and the acts and equipment of neighboring campsites;

  • Failure or malfunction of temporary or permanent sanitation, wastewater, plumbing, restroom, septic, utility, or other infrastructure, including resulting exposure to wastewater, odors, contamination, or related hazards;

  • Communicable and infectious disease, including but not limited to viral and bacterial infections, foodborne illness, exposure to sewage or wastewater, contaminated water, and insect-borne illness;

  • The independent acts of third-party food, beverage, and alcohol vendors, ride and attraction operators, art installation providers, and workshop presenters;

  • Consumption of alcohol and the conduct of other attendees who may be impaired; and

  • Presence of illegal drugs or controlled substances brought or used by other attendees or third parties.

Illegal drug use and underage or excessive alcohol use are prohibited at the Event, but despite Company's enforcement efforts may still occur due to attendees or other third parties beyond Company's control. Participant voluntarily assumes all risk of exposure to, or the actions of any person using or under the influence of, illegal drugs, controlled substances, or alcohol at the Event, regardless of source.

The Yuba River is present on or adjacent to the venue. Company does not provide lifeguards, water rescue personnel, or barriers preventing river access. If Participant enters the river despite the prohibition above, they do so entirely at their own risk, and Participant releases the Released Parties from all liability for injury, drowning, or death arising from the river, regardless of what warnings or barriers were in place.

PARTICIPANT VOLUNTARILY AND KNOWINGLY ASSUMES ALL SUCH RISKS, KNOWN AND UNKNOWN, AND ASSUMES FULL RESPONSIBILITY FOR ANY INJURY, ILLNESS, DEATH, LOSS, OR DAMAGE TO PERSON OR PROPERTY RESULTING FROM PARTICIPANT'S ATTENDANCE AT THE EVENT, WHETHER CAUSED BY THE NEGLIGENCE OF COMPANY OR OTHERWISE, EXCEPT AS PROHIBITED BY LAW.

3. No Duty to Rescue

Participant understands and agrees that the Released Parties (as defined in Section 4) have no duty to provide rescue, medical care, security intervention, transportation, or evacuation beyond what they voluntarily elect to provide at the time, and that any aid voluntarily rendered does not create an ongoing obligation or an assumption of liability by any Released Party.

4. Release, Waiver, and Covenant Not to Sue

To the fullest extent permitted by law, Participant, on behalf of themselves, their heirs, executors, administrators, and assigns, hereby releases, waives, discharges, and covenants not to sue 24 Music LLC, its owners, members, officers, employees, agents, contractors, volunteers, sponsors, performers, landowners, and its independent third-party food, beverage, and alcohol vendors, ride and attraction operators, art installation providers, and workshop presenters, and each of their respective successors and assigns (collectively, the "Released Parties") from any and all claims, demands, losses, liabilities, and causes of action of any kind arising out of or related to Participant's attendance at or travel to and from the Event, including claims arising from the ordinary negligence of any Released Party and claims arising from the independent acts of any third-party vendor or operator, to the maximum extent permitted by applicable law. This release does not apply to claims arising from a Released Party's gross negligence, willful misconduct, or fraud, or to any other claim that cannot be released as a matter of law.

California Civil Code Section 1542 Waiver. Participant expressly waives and relinquishes any and all rights and benefits Participant may have under Section 1542 of the California Civil Code, or any similar provision under federal or state law, which states:

“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

Participant acknowledges that they may later discover facts different from, or in addition to, those which Participant now knows or believes to be true regarding the matters released herein, and Participant agrees that this release shall remain in full force and effect notwithstanding the discovery of any such different or additional facts.

5. Medical Treatment Authorization and Financial Responsibility

  • Participant consents to receive on-site first aid or emergency medical care from Event medical staff or emergency responders if Participant is unable to give consent at the time and, in Company's or medical personnel's judgment, such care is necessary.

  • Participant is solely responsible for any and all costs of medical treatment, ground ambulance transport, air ambulance evacuation, hospitalization, or any other third-party medical service arising from an incident at the Event. The Released Parties are not liable for, and Participant releases the Released Parties from, any charges billed by county, municipal, or private EMS, ambulance, or medical transport providers.

  • If a third-party medical or transport provider bills Company directly for services rendered to Participant, Participant agrees to indemnify and reimburse Company in full for those charges within thirty (30) days of request.

  • Company's decision to call, arrange, or facilitate emergency medical services on Participant's behalf is a courtesy only and does not constitute an assumption of medical responsibility or liability by any Released Party.

6. Media, Photography, and Recording Consent

Participant acknowledges that the Event is filmed, photographed, and recorded on an ongoing basis by Company and its designees, and that Participant's image, likeness, voice, and appearance may be captured incidentally or intentionally in that process.

Participant grants Company, its licensees, assigns, and designees an irrevocable, perpetual, worldwide, royalty-free, and unrestricted right and license to record, photograph, and film Participant, and to use, reproduce, edit, distribute, publicly display, publicly perform, broadcast, sublicense, and otherwise exploit any such photographs, video, audio, or other recordings, and any likeness, name, or voice of Participant contained therein, in any media now known or later developed, for any purpose whatsoever, including promotional, marketing, advertising, editorial, and commercial purposes, without further notice to, compensation to, or approval from Participant.

Participant waives any right to inspect or approve the finished product, any right to royalties or other compensation, and any claim based on rights of privacy, publicity, defamation, or moral rights arising from Company's use of such media. Company owns all right, title, and interest, including all intellectual property rights, in and to any recordings made at the Event.

Participant acknowledges that Company is not responsible for, and disclaims all liability for, use of Participant's image, likeness, or recordings by third parties, including other attendees, media outlets, or members of the public, that is outside Company's direction or control.

7. Event Rules, Search, Alcohol Service, and Right to Refuse

  • Participant agrees to comply with all posted rules, verbal instructions from Event staff and security, and all applicable laws while at the Event.

  • Alcohol Service & 21+ ID Checks: Alcohol service on the Event premises is strictly restricted to individuals twenty-one (21) years of age or older, a separate and higher threshold than the 18+ age verification performed at general entry gates under Section 1. Government-issued photo identification verifying age is required to obtain a 21+ wristband and/or purchase or consume alcohol at all designated bars and vendor locations. Company and its vendors reserve the right to refuse service to any individual who fails to present valid ID or appears impaired.

  • Participant consents to search of their person, bags, and vehicle as a condition of entry, and agrees that Company may confiscate prohibited items without compensation. Refusal to consent to a search may result in denial of entry without a refund.

  • Company reserves the right, in its sole discretion and without refund, to refuse entry to, eject, or bar from re-entry any person whose conduct is disorderly, who violates these rules, who poses a safety risk, or for any other reason Company deems necessary to protect the safety of attendees, staff, or performers.

  • The Yuba River runs through or borders the venue. Swimming, wading, bathing, or entering the river in any manner is strictly prohibited at all times. Violation of this prohibition may result in immediate ejection without refund and, where applicable, referral to law enforcement.

  • Weapons, illegal substances, and any items prohibited by the Event's published entry policy are strictly forbidden. Violation may result in immediate ejection and referral to law enforcement.

8. Personal Property

Company does not provide security, custody, insurance, or any warranty for Participant's personal property, vehicle, or campsite contents. Company assumes no responsibility for personal property that is lost, stolen, damaged, or destroyed at or in transit to or from the Event, and Participant releases the Released Parties from any claim related thereto.

9. Ticket Terms, Cancellation, and Changes

  • All ticket sales are final. Except where required by law, tickets are non-refundable and non-exchangeable, including in the event Participant is refused entry or ejected for violating this Agreement.

  • Lineup, schedule, stages, and activities are subject to change without notice and without entitling Participant to a refund. Artist appearances are not guaranteed.

  • Company may postpone, curtail, relocate, or cancel the Event, in whole or in part, due to weather, government order, public health guidance, safety concerns, or other circumstances beyond Company's reasonable control (force majeure), without liability to Participant beyond any refund policy Company elects, in its sole discretion, to apply.

  • Resale of tickets above face value, or for commercial purposes, without Company's written consent is prohibited and may result in ticket cancellation without refund.

10. Indemnification

Participant agrees to indemnify, defend, and hold harmless the Released Parties from and against any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of Participant's breach of this Agreement, Participant's negligent or willful acts or omissions, or Participant's violation of any law or Event rule.

11. Limitation of Liability

To the fullest extent permitted by law, in no event shall the Released Parties be liable for any indirect, incidental, consequential, special, or punitive damages arising from Participant's attendance at the Event. To the extent any liability of a Released Party is nonetheless established notwithstanding the release in Section 4, such liability shall not exceed the amount Participant paid for their ticket.

12. Binding Arbitration and Class Action Waiver

Participant and Company agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the Event, or Participant's ticket purchase (a "Dispute") shall be resolved exclusively by final and binding arbitration, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies, and Company may seek injunctive relief in court to protect its intellectual property or media rights under Section 6.

  • Administration: The arbitration shall be administered by a neutral provider (such as the American Arbitration Association) under its consumer arbitration rules, before a single arbitrator, taking place in Yuba County, California, or by videoconference/written submissions if Participant prefers and the provider's rules allow.

  • Class Action Waiver: DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. PARTICIPANT AND COMPANY EACH WAIVE ANY RIGHT TO A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION; the arbitrator may not consolidate claims of more than one person.

  • Jury Trial Waiver: PARTICIPANT AND COMPANY EACH KNOWINGLY WAIVE THE RIGHT TO A JURY TRIAL OR TO LITIGATE IN COURT, except as expressly preserved above.

  • Opt-Out: Participant may decline this arbitration provision by written notice to Company (name and order number) within thirty (30) days of purchase, without affecting the rest of this Agreement.

  • If the Class Action Waiver is found unenforceable as to a particular claim, the remaining Disputes still proceed in arbitration on an individual basis.

13. Attorneys' Fees

In any arbitration, small claims action, or other proceeding to enforce or interpret this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys' fees and costs from the other party, in addition to any other relief awarded.

14. Governing Law and Venue

This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws principles. To the extent any Dispute is properly brought in court rather than arbitration under Section 12 (including small claims actions or requests for injunctive relief), Participant agrees that it shall be brought exclusively in the state or federal courts located in Yuba County, California, or, if the Event venue is later determined to sit outside Yuba County, in the county in which the venue is actually located, or in the county of Company's principal place of business, at Company's election. Participant consents to personal jurisdiction in those courts and waives any objection to venue on the grounds of inconvenient forum.

15. Severability, Entire Agreement, and Electronic Acceptance

If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified only to the minimum extent necessary to make it enforceable. This Agreement, together with the Event's posted rules, constitutes the entire agreement between Participant and Company regarding its subject matter and supersedes all prior understandings. Electronic acceptance (including selecting the checkbox labeled “I have Read and Agree to the Event's Guidelines” during online ticket purchase, or physical signature at will-call/box office) constitutes a valid and binding signature to the same extent as a handwritten signature.
